Please read these Terms and Conditions carefully before using the Debugist website (www.debugist.com) or engaging any of our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you must not use our website or engage our services.

Definitions

In these Terms and Conditions, the following definitions apply:

  • "Debugist", "we", "us", "our" — the technology and AI agency operating at www.debugist.com
  • "Client", "you", "your" — any individual or business that accesses our website or engages our services
  • "Services" — all services offered by Debugist including web development, app development, AI automations, AI receptionists, ERP development, digital marketing, graphic design, and IT consulting
  • "Project" — any specific scope of work agreed between Debugist and the Client
  • "Agreement" — the service agreement, proposal, or contract entered into between Debugist and the Client
  • "Deliverables" — any work product, software, designs, or materials produced by Debugist for the Client
  • "Intellectual Property" — any creative works, code, designs, trademarks, or other proprietary materials

Services

2.1 Service Offering

  • Web Development — Design and development of websites and landing pages
  • App Development — Mobile and cross-platform application development
  • Web App Development — Custom SaaS platforms and web applications
  • AI Automations — Workflow automation using artificial intelligence
  • AI Receptionists — Conversational AI agents for customer interaction
  • ERP Development — Custom enterprise resource planning systems
  • Digital Marketing — SEO, paid advertising, and social media management
  • Graphic Designing — Brand identity, visual assets, and marketing materials
  • IT Consulting — Technology strategy and advisory services

2.2 Service Engagement

All services are provided based on a written proposal or agreement. Services begin only upon receipt of a signed agreement and the agreed initial payment. Debugist reserves the right to decline any project at its sole discretion.

2.3 Service Modifications

Any changes to the agreed project scope must be submitted in writing. Scope changes may result in additional costs and revised timelines, which will be communicated to the Client before implementation.

Payment Terms

3.1 Payment Schedule

Standard Projects
50% Deposit + 50% on Completion
Deposit required before work commences
Monthly Retainers
Payment on 1st of each month
Billed in advance at the start of each month
Large Projects
Custom Milestone Payments
As outlined in the project agreement
Rush Projects
100% Payment Upfront
Full payment required before work begins

3.2 Late Payments

Invoices are due within 7 days of the invoice date. Late payments may result in work being paused. Debugist reserves the right to charge a late payment fee of 2% per month on overdue balances.

3.3 Refund Policy

The deposit is non-refundable once work has commenced. Refunds for work already completed will not be issued. If Debugist fails to deliver agreed services, a partial or full refund may be considered on a case-by-case basis.

3.4 Currency

All payments are processed in the currency specified in the proposal (USD, PKR, or AED). Currency conversion fees are the responsibility of the Client.

Project Delivery

4.1 Timelines

Project timelines are estimates provided in good faith. Delays caused by the Client's failure to provide required materials, feedback, or access will not be attributed to Debugist, and timelines will be adjusted accordingly.

4.2 Client Responsibilities

  • Providing required content, assets, and materials on time
  • Responding to feedback requests within 3 business days
  • Providing access to required platforms, accounts, or systems
  • Designating a single point of contact for project communication

4.3 Revisions

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the agreed scope will be billed at Debugist's standard hourly rate. Revision requests must be submitted within 14 days of delivery.

4.4 Acceptance

The Client has 7 days from delivery to review and request revisions. If no feedback is received within 7 days, the deliverable will be considered accepted and final payment becomes due.

Intellectual Property

5.1 Ownership of Deliverables

Upon receipt of full payment, the Client will own the final deliverables produced specifically for their project, including custom designs, code, and content created exclusively for the Client.

5.2 Debugist Retains Rights To

  • All pre-existing intellectual property, frameworks, tools, and libraries
  • General methodologies, processes, and know-how developed by Debugist
  • Third-party components included in deliverables (subject to their licences)
  • The right to display work in Debugist's portfolio unless confidentiality is requested in writing

5.3 Client Content

The Client retains ownership of all content, logos, trademarks, and materials provided to Debugist. The Client warrants they have the legal right to use all content provided.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Debugist will not disclose the Client's confidential business information to any third party without prior written consent.

If the Client requires a formal Non-Disclosure Agreement (NDA), this must be requested before the project commences.

Warranties and Representations

7.1 Debugist Warrants That

  • Services will be performed with reasonable skill and care
  • Deliverables will substantially conform to the agreed specifications
  • We have the right to provide the services outlined in our agreements

7.2 Debugist Does Not Warrant That

  • Services will be entirely error-free or uninterrupted
  • Specific business results, traffic, or revenue gains will be achieved
  • Third-party platforms or APIs will remain available or unchanged
  • AI systems will be 100% accurate or produce guaranteed outputs

Limitation of Liability

Debugist's total liability shall not exceed the total amount paid by the Client in the 3 months preceding the claim. Debugist shall not be liable for any indirect, incidental, or consequential damages including:

  • Loss of profits, revenue, or business opportunities
  • Loss or corruption of data
  • Business interruption
  • Damage to reputation

Termination

9.1 Termination by Client

The Client may terminate a project with 14 days written notice. The Client shall pay for all work completed to the termination date. The deposit is non-refundable.

9.2 Termination by Debugist

Debugist may terminate any agreement with 14 days written notice if the Client fails to make payment, acts abusively toward our team, or requires engagement in illegal or unethical activities.

Maintenance and Support

Ongoing maintenance and support are not included unless specified in a separate agreement. Bug fixes for issues directly attributable to Debugist's work are addressed free of charge within 30 days of delivery. Issues from Client modifications or third-party updates are not covered.

Use of Our Website

You may use www.debugist.com for lawful purposes only. You agree not to introduce malware, scrape our content, or attempt unauthorised access to our systems.

Third-Party Services and Tools

Debugist may use third-party tools and platforms to deliver our work. We are not responsible for availability or changes to third-party services. The Client is responsible for any third-party platform fees or subscriptions required to maintain delivered solutions.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Pakistan. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, both parties agree to seek mediation before pursuing legal proceedings in the courts of Karachi, Pakistan.

Force Majeure

Debugist shall not be liable for delays caused by circumstances beyond our reasonable control including natural disasters, internet outages, power failures, pandemics, or failure of third-party services.

Changes to These Terms

Debugist reserves the right to modify these Terms at any time. Changes are effective immediately upon posting. Existing clients will be notified of material changes via email. Continued use of our services constitutes acceptance of the updated terms.

Entire Agreement

These Terms, together with any signed project agreement or proposal, constitute the entire agreement between Debugist and the Client. If any provision is found unenforceable, the remaining provisions continue in full force.
